Terms of Service

These Terms of Service (Terms) govern your access to and use of the CallEssential website, platform, and communications services, provided by SynergyTalk and based in Dubai, United Arab Emirates (CallEssential, we, us). By creating an account, purchasing, or using the services, you agree to these Terms. If you enter into these Terms on behalf of a business, you confirm that you are authorised to bind that business.

1. The services

CallEssential provides cloud communications services, including Cloud PBX, contact centre, AI voice agents, SIP trunks, numbering, and related features. The specific services, features, and commercial terms that apply to you are described in your order or service agreement.

2. Accounts and your responsibilities

You are responsible for the accuracy of your account information, for all activity under your account, and for keeping credentials, SIP details, and API keys secure. You must ensure that your use of the services complies with all laws and regulations that apply to you.

3. Acceptable use

You must not use the services for any unlawful, fraudulent, or abusive purpose, including spam, robocalling, caller ID spoofing, traffic pumping, or any activity that breaches telecommunications laws. Additional terms apply to telecom services (see our Telecom Services notice). We may suspend or restrict the services to prevent harm, fraud, or legal risk.

4. Fees, billing, and taxes

You agree to pay all fees for the services as set out in your order, together with applicable taxes, carrier surcharges, and regulatory fees. Unless stated otherwise, charges are non-refundable, and late or failed payment may result in suspension.

5. Service availability and telecom limitations

We provide the services on a commercially reasonable basis. Availability, call routing, and call completion depend on third-party carriers, internet connectivity, your equipment, and other factors beyond our control. Emergency calling (such as 911, 999, or 112) may be unavailable or limited, and you must maintain an alternative means of contacting emergency services.

6. Third-party services

The services may integrate with third-party products such as Microsoft Teams or CRM systems. We are not responsible for third-party services, and your use of them is governed by their own terms.

7. Intellectual property

We and our licensors own all rights in the platform, software, and related materials. We grant you a limited, non-exclusive, non-transferable right to use the services during your subscription. You retain ownership of your own data and content.

8. Disclaimer of warranties

Except as expressly stated in a signed agreement, the services are provided on an as is and as available basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free.

9. Limitation of liability

To the maximum extent permitted by law, CallEssential will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the services will not exceed the amounts paid by you for the services in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless CallEssential from any claims, losses, or expenses arising from your use of the services, your content, or your breach of these Terms or of applicable law.

11. Suspension and termination

We may suspend or terminate the services for non-payment, breach of these Terms, security or fraud risk, or where required by law. You may terminate in accordance with your service agreement. Provisions that by their nature should survive termination will continue to apply.

12. Changes to the services and Terms

We may update the services or these Terms from time to time. Material changes will be notified in accordance with your service agreement or by posting an updated version with a new effective date. Continued use of the services after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates, and the courts of Dubai will have jurisdiction, unless a signed service agreement specifies otherwise.

These Terms form a binding agreement between you and CallEssential. Where you have signed a separate service agreement or order form, that document and these Terms apply together; in the event of a conflict, the signed service agreement prevails.
